1. Scope

These Terms and Conditions apply to all offers, quotations, agreements, and deliveries provided by VerticalSolar B.V. to its customers. By placing an order or making an inquiry, the customer accepts these Terms and Conditions.

2. Offers and Prices

All offers and quotations are non-binding unless expressly stated otherwise.
Prices are exclusive of VAT, shipping costs, and any applicable duties, unless otherwise agreed in writing.

3. Orders and Confirmations

Orders become binding only after written confirmation by VerticalSolar.
Changes or cancellations must be approved in writing.
VerticalSolar reserves the right to refuse orders without providing a reason.

4. Delivery

Delivery times are indicative and non-binding.
Delays in delivery do not entitle the customer to claim damages or cancel the agreement.
Risk of the goods passes to the customer upon dispatch.

5. Payment

Invoices must be paid within 14 days of the invoice date, unless otherwise agreed.
In case of late payment, VerticalSolar is entitled to charge statutory interest and suspend further deliveries.

6. Warranty

VerticalSolar guarantees its mounting systems against manufacturing defects for a period of 10 years from the date of delivery.
The warranty does not cover defects arising from improper installation, misuse, or modifications made without written approval.

7. Liability

VerticalSolar is not liable for any indirect, consequential, or incidental damages arising from the use or inability to use the product.
Our liability is limited to the value of the goods delivered.

8. Intellectual Property

All designs, images, texts, and technical documents provided by VerticalSolar remain the intellectual property of VerticalSolar B.V.
They may not be copied, used, or shared with third parties without written consent.

9. Governing Law and Jurisdiction

These Terms and Conditions are governed by Dutch law.
Any disputes arising will be submitted exclusively to the competent court in the Netherlands.

10. Final Provisions

If any provision of these Terms and Conditions is deemed invalid, the remaining provisions will remain fully effective.
Deviations from these Terms are only valid if confirmed in writing by VerticalSolar.
